Please read these Terms of Service carefully before engaging TekGuard Solutions for any smart home, AV, or integration project. These terms govern the relationship between TekGuard Solutions and our clients and establish the rights and obligations of each party.
Acceptance of Terms
By requesting a consultation, signing a project proposal, or engaging the services of TekGuard Solutions Inc. ('TekGuard', 'we', 'us', or 'our'), you ('Client') agree to be bound by these Terms of Service. If you do not agree to these terms, please do not proceed with engaging our services.
These Terms of Service, together with any signed project proposal, scope of work document, or service agreement, constitute the entire agreement between TekGuard Solutions and the Client with respect to the services described therein. In the event of a conflict, the terms of a signed project agreement shall take precedence.
TekGuard Solutions reserves the right to update these Terms of Service at any time. Continued engagement of our services following notification of changes constitutes acceptance of the revised terms.
Services
TekGuard Solutions provides professional design, supply, installation, programming, and commissioning of smart home automation systems, Lutron lighting and motorized shading, home cinema, multi-room audio and video distribution, residential security systems, commercial AV integration, and enterprise networking infrastructure.
All services are performed by licensed and certified technicians. Work involving electrical, low-voltage cabling, and structured network infrastructure is carried out in compliance with applicable British Columbia building codes and regulations.
The scope of services for each project will be defined in a written proposal accepted by the Client. Any additions or modifications to the agreed scope must be documented in a written change order signed by both parties before work commences. TekGuard Solutions is not obligated to perform work outside the accepted scope without a change order.
TekGuard Solutions works collaboratively with architects, general contractors, and interior designers. Coordination with third-party trades is included within our project management scope; however, TekGuard Solutions is not liable for delays or deficiencies attributable to other contractors.
Payment Terms
Payment schedules are defined in each project proposal. Typical residential projects are structured as follows: a deposit of 50% of the total project value is due upon acceptance of the proposal; a progress payment of 40% is due upon substantial completion of rough-in and equipment delivery; the remaining 10% is due upon final commissioning and handover.
Invoices are payable within 14 days of issuance unless otherwise specified in the project agreement. Overdue balances bear interest at 1.5% per month (18% per annum) from the invoice due date.
TekGuard Solutions accepts payment by bank transfer, certified cheque, or credit card. Credit card payments may be subject to a processing surcharge as disclosed at the time of payment.
TekGuard Solutions retains title to all equipment and materials supplied until payment in full has been received. In the event of non-payment, TekGuard Solutions reserves the right to remove installed equipment and pursue recovery of outstanding amounts through applicable legal channels.
Project Timelines
Estimated project timelines are provided in good faith based on information available at the time of proposal. TekGuard Solutions will make reasonable efforts to adhere to agreed schedules; however, timelines are subject to change due to construction delays, equipment lead times, permit processing, weather, force majeure events, or changes in project scope.
TekGuard Solutions will communicate timeline adjustments promptly and work collaboratively with the Client and project team to minimize disruption. We do not accept liability for consequential losses arising from schedule changes beyond our reasonable control.
The Client is responsible for ensuring site access, completed rough-in conditions, and a suitable working environment at the times agreed for installation. Delays caused by the Client or third-party contractors may result in rescheduling fees.
Warranties & Guarantees
TekGuard Solutions warrants all labour and workmanship performed by our technicians for a period of one (1) year from the date of final commissioning. This warranty covers defects in installation workmanship and does not apply to equipment failure, damage caused by third parties, unauthorized modifications, or misuse.
Equipment and hardware supplied by TekGuard Solutions carries the manufacturer's warranty, which TekGuard Solutions will assist the Client in administering. Manufacturer warranty terms vary by brand and product category; specific warranty documentation is provided at project handover.
Lutron lighting control and motorized shading systems carry Lutron's limited lifetime warranty on the control system and a five-year warranty on motorized components, subject to Lutron's terms and conditions.
Warranty service is provided during our standard business hours. Emergency after-hours support is available to Clients enrolled in a TekGuard Solutions Annual Service Agreement.
Limitation of Liability
To the maximum extent permitted by applicable law, TekGuard Solutions' aggregate liability to the Client for any claim arising from the provision of services shall not exceed the total fees paid by the Client to TekGuard Solutions in the twelve months preceding the event giving rise to the claim.
TekGuard Solutions shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, arising from or related to the performance or non-performance of our services, even if TekGuard Solutions has been advised of the possibility of such damages.
TekGuard Solutions is not responsible for damage to property caused by pre-existing conditions, latent defects in building construction, unauthorized access to smart home systems by third parties, or Client failure to follow operational guidance provided at project handover.
Intellectual Property
All design drawings, system schematics, programming code, configuration files, and technical documentation created by TekGuard Solutions in connection with your project remain the intellectual property of TekGuard Solutions unless explicitly assigned in writing.
Upon full payment of all amounts due, TekGuard Solutions grants the Client a non-exclusive, perpetual licence to use the project documentation for the operation and maintenance of the installed systems at the specified property. This licence does not permit reproduction, distribution, or use of the documentation for any other purpose.
TekGuard Solutions may photograph or document completed projects for portfolio, marketing, and case study purposes. Where the Client's property or personal information would be identifiable, we will seek the Client's prior written consent before publication.
Governing Law
These Terms of Service and any agreements entered into pursuant to them are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
Any dispute arising from or related to these Terms of Service or the services provided by TekGuard Solutions shall be resolved through good-faith negotiation between the parties. If negotiation fails to resolve the dispute within 30 days, the parties agree to submit to the non-exclusive jurisdiction of the courts of British Columbia, Canada.
Nothing in these Terms of Service limits a party's right to seek urgent injunctive or equitable relief from a court of competent jurisdiction.
